Corporate Governance & Compliance - LAW717

Corporate governance abuses and the compliance programs intended to deter them dominate the business discussion in the media, the attention of Congress and the rulemaking and enforcement agendas of government agencies. Attorneys representing the stakeholders, most notably the agencies and the corporations they regulate, are at the center of the storm. This seminar will explore certain governance and compliance issues critical to US publicly traded corporations, beginning with an overview of corporate governance structures, and continuing with an examination of current regulatory schemes. Students will prepare an evaluation of a real-world failure of a major corporation, including an analysis of its operations, the regulatory issues of which it ran afoul, and the nature of the subsequent civil, criminal and business consequences. The course will conclude with a focus on the ongoing development of governance and compliance requirements, including issues of corporate social responsibility. (Prerequisite: Business Organizations I.)
